Welcome to TechBox Review System (“Company”, “we”, “our”, or “us”). We provide businesses with cutting-edge tools and services to enhance their online reputation, generate authentic customer reviews, and manage their digital presence effectively. Our solutions are designed to help businesses increase visibility, build trust, and attract new customers through managed review generation and reputation marketing services.
By accessing or using any of our websites, platforms, mobile applications, or engaging with our services (collectively, the “Services”), you (“Client”, “Customer”, or “you”) agree to comply with and be bound by these Terms and Conditions (“Terms”). These Terms constitute a legally binding agreement between you and TechBox Review System.
Our Business Jurisdictions:
We operate in both the United States and Mexico. Our primary legal entity is based in Montclair, California, USA, with certain service operations and customer support provided in El Grullo, Jalisco, Mexico, to accommodate our bilingual and bicultural client base.
Purpose of These Terms:
These Terms outline the rules and guidelines for using our Services, clarify our responsibilities to you as a client, and set the expectations for your obligations and conduct when using our Services. They also establish the governing law and jurisdiction applicable to any disputes.
Acceptance of Terms:
By using our Services, you confirm that you have read, understood, and agree to abide by these Terms. If you do not agree to these Terms in their entirety, you must refrain from using our Services.
1. Definitions
For the purposes of these Terms and Conditions, the following definitions apply:
“Company,” “we,” “our,” or “us” — refers to TechBox Review System, including all associated employees, agents, contractors, and authorized representatives.
“Client,” “Customer,” “you,” or “your” — refers to any individual or business entity that purchases, subscribes to, or otherwise uses the Services provided by the Company.
“Services” — includes all products, software, applications, consultation, managed review generation, reputation marketing services, reputation response services, and any other offerings provided by TechBox Review System.
“Website” — refers to the primary online portal located at www.techboxreviewsystem.com and any related subdomains.
“Subscription Plans” — refers to the recurring service packages offered by the Company, including but not limited to the Starter Plan ($99/month), Growth Plan ($199/month), and Pro Plan ($299/month).
“User Content” — means any content, data, or information provided by the Client, including but not limited to customer contact lists, marketing materials, and other data used to facilitate the Services.
“Review Cap” — refers to the maximum number of reviews that can be provided under a given plan, which may be subject to limits outlined in the Subscription Plans or specific agreements.
“Third-Party Services” — refers to services, products, or content provided by third parties that may be integrated into or used in connection with the Services.
Note: Additional terms may be defined throughout this document as necessary to clarify specific provisions.
2. Eligibility & Account Registration
2.1 Eligibility
By using our Services, you confirm that you are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher. You must also have the full power and authority to enter into these Terms and Conditions and perform your obligations hereunder. Businesses registering for Services must be duly organized, validly existing, and in good standing under the laws of their jurisdiction.
2.2 Account Registration
To access and use certain features of the Services, Clients may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to ensure it remains accurate and complete.
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TechBox Review System immediately of any unauthorized use of your account or any other breach of security.
2.4 Prohibited Users
Our Services are not available to:
Individuals or businesses that have been previously suspended or removed from the Services.
Competitors or individuals acting on behalf of competitors for purposes of competitive analysis or benchmarking.
Entities or individuals located in countries embargoed by the United States or Mexico or who are otherwise prohibited from receiving services under applicable laws.
2.5 Account Termination
We reserve the right to suspend or terminate your account at our discretion for violations of these Terms, fraudulent activity, abuse of Services, or non-payment.
3. Description of Services
3.1 Overview
TechBox Review System provides businesses with reputation management services designed to increase customer reviews, improve online visibility, and enhance digital credibility. Our core offerings include review generation campaigns, review monitoring, reporting, and customer engagement workflows. We offer a hybrid model combining both Software as a Service (SaaS) and managed services.
3.2 Subscription Plans
Clients can choose from the following subscription plans:
Starter Plan: $99/month
Growth Plan: $199/month
Pro Plan: $299/month (maximum monthly charge cap, even if the client receives more than 300 reviews in a month)
Each plan includes a specific set of features and service levels, as described on our website or in your service agreement.
3.3 Custom Campaigns and Managed Services
In addition to our standard plans, clients may request custom campaigns or managed services. These services may incur additional charges, which will be disclosed and agreed upon before initiation.
3.4 Geographic Availability
Our services are available to businesses located in the United States and Mexico. For U.S. clients, legal jurisdiction is based in Montclair, California. For Mexican clients, legal jurisdiction is based in El Grullo, Jalisco.
3.5 Results Disclaimer
While TechBox Review System strives to maximize the number and quality of reviews generated, we do not guarantee a specific number of reviews, ratings, or business outcomes. Results depend on various factors, including customer engagement, the nature of the business, and compliance with our best practices.
3.6 Data Use and Client Responsibilities
Clients authorize TechBox Review System to utilize their customer contact lists strictly for the purpose of executing review campaigns. Clients are responsible for ensuring that all customer data provided to us complies with applicable privacy laws, including obtaining necessary consents.
4. Payment Terms
4.1 Billing and Subscription Fees
Clients agree to pay the fees associated with their selected subscription plan. Subscription fees are billed monthly in advance. The applicable fees for each plan are published on our website or specified in the client’s service agreement.
4.2 Payment Methods and Payment Processor
We accept payments via credit/debit cards and other payment methods made available on our platform. All payments are securely processed through Stripe, Inc., our third-party payment processor. By subscribing to our services, clients also agree to be bound by Stripe’s Terms of Service and Privacy Policy, which can be reviewed at https://stripe.com/legal and https://stripe.com/privacy.
4.3 Automatic Billing Authorization
By providing payment information, clients authorize us to automatically charge the applicable subscription fees to the designated payment method on a recurring basis until the subscription is canceled in accordance with Section 5 of these Terms.
4.4 Maximum Monthly Charges
For the Pro Plan, charges will not exceed $299 per month, even if more than 200 reviews are generated during the billing period. This provides predictable and capped monthly costs for clients.
4.5 Taxes
All fees are exclusive of any applicable taxes. Clients are responsible for paying any sales, use, value-added, or other taxes or duties imposed by taxing authorities in their jurisdiction.
4.6 Late Payments and Account Suspension
Failure to make timely payments may result in suspension or termination of services. We reserve the right to apply late fees or engage third-party collection services for accounts overdue by more than 30 days.
4.7 Fee Changes
We reserve the right to modify our fees or introduce new charges at any time. Clients will be notified at least 30 days in advance of any changes. Continued use of our services after the fee change takes effect constitutes acceptance of the new fees.
4.8 Refunds
All fees are non-refundable, except where required by law or otherwise stated in a separate written agreement. If a client terminates their subscription before the end of a billing cycle, no partial or prorated refunds will be issued.
5. Subscription and Cancellation Policy
5.1 Subscription Renewal
All subscription plans automatically renew on a monthly basis unless canceled by the client prior to the renewal date. By subscribing, clients agree that we may charge the applicable subscription fees using the payment method provided until the subscription is canceled.
5.2 Cancellation by Client
Clients may cancel their subscription at any time by contacting us at [email protected] or by following the cancellation procedures outlined within their account settings, if available. Cancellations must be completed before the next billing cycle to avoid being charged for the subsequent month. Cancellation requests received after the billing date will take effect at the end of the current billing cycle.
5.3 Termination by TechBox Review System
We reserve the right to suspend or terminate a client’s subscription and access to services at our discretion, including but not limited to instances of:
Non-payment or failed payment transactions.
Violation of these Terms and Conditions.
Fraudulent, abusive, or unlawful activities.
5.4 Effect of Cancellation or Termination
Upon cancellation or termination:
The client’s access to the platform and all services will cease at the end of the current billing period.
Any collected data or reports generated during the subscription period may no longer be accessible after termination.
Clients remain responsible for any outstanding balances due at the time of termination.
5.5 No Refunds
As stated in Section 4.8, subscription fees are non-refundable. No refunds or credits will be provided for partial months or unused services unless required by applicable law.
5.6 Changes to Subscription Plans
Clients may request to upgrade or downgrade their subscription plan at any time. Plan changes will take effect in the next billing cycle unless otherwise agreed in writing.
6. User Responsibilities
6.1 Accurate Information
Clients agree to provide accurate, current, and complete information when registering for our services and to promptly update such information if there are any changes. Failure to provide accurate information may result in suspension or termination of services.
6.2 Compliance with Laws
Clients are responsible for complying with all applicable local, state, national, and international laws, regulations, and industry standards in connection with their use of our services. This includes, but is not limited to, laws governing marketing practices, email communications, privacy, data protection, and consumer protection.
6.3 Authorized Use
Clients agree to use TechBox Review System’s services only for lawful and legitimate business purposes. Any unauthorized use, including resale of our services without permission, fraudulent activities, or any use that could damage, disable, or impair our services or systems, is strictly prohibited.
6.4 Responsibility for Customer Data
Clients are solely responsible for the data they provide to TechBox Review System, including the information of their customers, and for ensuring that they have the legal right and appropriate consent to use such data for the purposes of our services.
6.5 Account Security
Clients are responsible for maintaining the confidentiality and security of their account credentials. Any activities that occur under a client’s account are their sole responsibility. Clients agree to notify us immediately of any unauthorized use or security breach.
6.6 Marketing and Outreach Compliance
Clients are solely responsible for ensuring that their marketing and review solicitation practices comply with applicable laws and platform policies (such as Google, Facebook, and Yelp guidelines). TechBox Review System is not responsible for any penalties or actions taken against clients due to non-compliant practices.
6.7 Prohibited Conduct
Clients must not:
Use the services to engage in deceptive, misleading, or unethical marketing practices.
Attempt to gain unauthorized access to our systems or other users’ accounts.
Upload or transmit any viruses, malware, or other harmful code.
6.8 Indemnification
Clients agree to indemnify and hold harmless TechBox Review System, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney’s fees, arising out of or in any way connected with their use of our services, violation of these Terms, or infringement of any intellectual property or other rights of any third party.
7. Limitation of Liability
7.1 General Limitation
To the fullest extent permitted by applicable law, TechBox Review System, including its owners, affiliates, officers, directors, employees, agents, licensors, and service providers, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- The client’s access to or use of or inability to access or use the services;
- Any conduct or content of any third party on the services;
- Any unauthorized access, use, or alteration of client transmissions or content;
- Any bugs, viruses, trojan horses, or the like which may be transmitted to or through our services by any third party.
7.2 Service Interruptions
While we strive to maintain uninterrupted service, TechBox Review System does not guarantee that the services will always be available, uninterrupted, or error-free. Occasional downtime may occur for maintenance, upgrades, or other reasons beyond our control.
7.3 Third-Party Services and Integrations
TechBox Review System may integrate with or rely on third-party services such as Stripe for payment processing or third-party messaging/emailing platforms for customer engagement. We do not warrant, endorse, guarantee, or assume responsibility for any product or service offered by a third party. Any issues or disputes with third-party services must be resolved directly with the third party.
7.4 Limitation on Liability Cap
In no event shall TechBox Review System’s total liability to any client for all claims arising out of or relating to these Terms or use of the services exceed the total amount paid by the client to TechBox Review System for the services during the twelve (12) months immediately preceding the event giving rise to such liability.
7.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages or liability, so some of the above limitations may not apply to specific clients. However, liability will be limited to the maximum extent permitted by law.
8. Termination and Suspension
8.1 Termination by Client
Clients may terminate their subscription or services with TechBox Review System at any time by providing written notice via email to [email protected]. Termination will take effect at the end of the current billing cycle. No refunds will be issued for any partial billing periods, services rendered, or reviews already delivered.
8.2 Termination by TechBox Review System
We reserve the right to terminate or suspend a client's access to the services, with or without notice, for any of the following reasons:
- Breach of these Terms and Conditions;
- Illegal, fraudulent, or abusive use of the services;
- Non-payment or failed payment attempts;
- Activities that, in our sole discretion, harm or may harm the reputation or integrity of TechBox Review System or its clients.
8.3 Data Retention Post-Termination
Upon termination, access to the platform and services will be revoked. We may retain client data for a reasonable period as required to comply with legal obligations, enforce our agreements, or resolve disputes. After such period, client data may be securely deleted.
8.4 Effects of Termination
Termination does not relieve the client from any payment obligations incurred before or during the notice period. The client remains responsible for any outstanding balances or fees due to TechBox Review System.
8.5 Suspension
In cases where termination is not warranted but a violation or issue requires remediation, TechBox Review System may temporarily suspend a client’s account or access to certain features until the issue is resolved to our satisfaction.
9. Indemnification
9.1 Client Responsibility
By using TechBox Review System’s services, you agree to indemnify, defend, and hold harmless TechBox Review System, its owners, directors, officers, employees, affiliates, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from or relate to:
- Your violation of these Terms and Conditions;
- Your misuse of the services, including but not limited to the unauthorized collection or use of customer data;
- Any claim or dispute arising out of the content or nature of reviews generated or solicited through our platform;
- Your violation of any applicable laws, rules, or regulations of the United States, Mexico, or any jurisdiction where you operate.
9.2 Third-Party Claims
This indemnification also applies to any claims brought by third parties, including but not limited to your customers, arising out of or relating to your use of our services, your marketing practices, or any communication facilitated through TechBox Review System.
9.3 Defense and Settlement
TechBox Review System reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with TechBox Review System in asserting any available defenses and in the investigation or settlement of such claims.
9.4 Limitation
Your indemnification obligations will survive the termination or expiration of these Terms and Conditions and your use of the services.
10. Limitation of Liability
10.1 General Limitation
To the fullest extent permitted by applicable law, TechBox Review System, including its owners, officers, directors, employees, agents, affiliates, and service providers, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or other intangible losses, resulting from:
- Your use of or inability to use the services;
- Any unauthorized access to or alteration of your transmissions or data;
- Statements or conduct of any third party using the services;
- Any content or information obtained through the services;
- Any other matter relating to the services.
10.2 Maximum Liability
Notwithstanding anything to the contrary, TechBox Review System’s total liability to you for any claims arising out of or relating to these Terms and Conditions or your use of the services shall not exceed the total amount paid by you to TechBox Review System during the twelve (12) months preceding the event giving rise to the liability.
10.3 Assumption of Risk
By using the services, you acknowledge and agree that you assume full responsibility for any decisions made or actions taken based on the use of our services, including review generation and any resulting impact on your business reputation or online presence.
10.4 Jurisdictional Limitations
Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to you. In such cases, TechBox Review System’s liability shall be limited to the fullest extent permitted by applicable law.
11. Disclaimer of Warranties
11.1 Service Provided "As Is"
The services provided by TechBox Review System are offered on an "as is" and "as available" basis without any warranties of any kind, whether express, implied, or statutory. We make no warranties or representations regarding the reliability, accuracy, completeness, or timeliness of the services or any content provided.
11.2 No Guarantee of Results
While TechBox Review System is committed to delivering high-quality review generation and reputation management services, we cannot and do not guarantee specific results or outcomes. The effectiveness of reviews in improving business reputation, customer engagement, or search engine rankings may vary depending on numerous factors beyond our control, including market conditions, customer behavior, and third-party platform policies (e.g., Google, Yelp, Facebook).
11.3 No Implied Warranties
To the fullest extent permitted by law, TechBox Review System disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11.4 Third-Party Platforms and Services
We do not warrant that the services will function without interruption or error-free in conjunction with third-party platforms or services. TechBox Review System is not responsible for any changes, restrictions, suspensions, or terminations imposed by third-party review platforms, payment processors, or other service providers that may affect your use of our services.
11.5 User Responsibility
It is the user’s responsibility to ensure that the use of our services complies with all applicable laws, regulations, and terms of service of third-party platforms. TechBox Review System disclaims any liability arising from your failure to comply with such laws or third-party terms.
12. Indemnification
12.1 Your Agreement to Indemnify
You agree to indemnify, defend, and hold harmless TechBox Review System, its parent company, affiliates, subsidiaries, officers, directors, employees, agents, partners, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that arise from or relate to:
- Your use or misuse of our services.
- Any violation of these Terms and Conditions.
- Your violation of any applicable laws or regulations.
- Your infringement or violation of the rights of any third party, including but not limited to intellectual property rights, privacy rights, or contractual rights.
- Any content or data provided by you to TechBox Review System or generated through the use of our services.
12.2 Third-Party Claims
This indemnification obligation includes claims brought by third parties arising out of or relating to your use of the services, including but not limited to claims by customers, clients, competitors, regulatory authorities, or other individuals or entities affected by your actions or omissions.
12.3 Cooperation and Defense
You agree to fully cooperate with us in the defense of any claim that is subject to indemnification. TechBox Review System reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not settle any matter without our prior written consent.
12.4 Limitation of Indemnification
The indemnification obligations set forth in this section shall survive the termination or expiration of your relationship with TechBox Review System and the termination or expiration of these Terms and Conditions.
13. Limitation of Liability
13.1 No Liability for Indirect Damages
To the fullest extent permitted by applicable law, TechBox Review System, its parent company, affiliates, subsidiaries, officers, directors, employees, agents, partners, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or relating to your use or inability to use our services, even if we have been advised of the possibility of such damages.
13.2 Cap on Liability
In no event shall TechBox Review System’s total cumulative liability to you or any third party for any claim or series of related claims exceed the total amount you paid to TechBox Review System in the three (3) months preceding the event giving rise to the liability or $500 USD, whichever is greater.
13.3 Assumption of Risk
You acknowledge and agree that your use of our services is at your sole risk. TechBox Review System provides its services on an “as is” and “as available” basis without any warranties of any kind, either express or implied. You assume full responsibility for any loss that results from your use of the services, including but not limited to loss of data, customer dissatisfaction, or compliance issues.
13.4 Third-Party Services and Integrations
TechBox Review System integrates with third-party services such as Stripe for payment processing, as well as other marketing or review platforms at your discretion. We are not responsible for the actions, content, or policies of these third-party services. Your use of third-party services is governed solely by the terms and conditions of those services.
13.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.
14. Governing Law and Jurisdiction
14.1 Governing Law
These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. For clients based in Mexico, the applicable laws of the State of Jalisco, Mexico, shall govern.
14.2 Jurisdiction
For clients located in the United States, you agree that any disputes arising under or related in any way to these Terms and Conditions or your use of our services shall be resolved exclusively in the state or federal courts located in San Bernardino County, California. You hereby consent to the personal jurisdiction and venue of these courts.
For clients located in Mexico, any disputes shall be resolved exclusively in the courts located in El Grullo, Jalisco. By using our services, you consent to the jurisdiction and venue of these courts.
14.3 International Users
If you access our services from locations outside of the United States or Mexico, you do so at your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.
14.4 Legal Fees
In the event of any dispute arising out of or related to these Terms and Conditions, the prevailing party shall be entitled to recover reasonable attorneys’ fees and costs.
15. Changes to Terms and Conditions
15.1 Right to Modify
TechBox Review System reserves the right, at its sole discretion, to modify, update, or replace these Terms and Conditions at any time. Changes may reflect updates to our services, changes in applicable laws, or other adjustments deemed necessary for the ongoing operation and compliance of our business.
15.2 Notification of Changes
Whenever changes are made, we will update the "Effective Date" at the top of this page and, where appropriate, provide additional notice (such as by sending an email notification or posting a notice on our website).
15.3 Continued Use as Acceptance
By continuing to use our services after any changes become effective, you agree to be bound by the revised Terms and Conditions. If you do not agree to the new terms, you must stop using our services immediately.
